Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Shipzy software ("Software"), which is an online business productivity software provided by ThinkerSky Technologies Pvt. Ltd. ("ThinkerSky," "we," "our," or "us"). By accessing or using the Software, you agree to comply with these Terms. If you do not agree with these Terms, please do not use the Software.

Acceptance of the Agreement

You must be of legal age to enter into a binding agreement in order to accept the Agreement . If you do not agree to the Terms of use, do not use any of our Services. You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.

License and Use

Subject to these Terms, ThinkerSky grants you a non-exclusive, non-transferable, limited license to access and use the Software for your internal business purposes. You acknowledge that the Software is the property of ThinkerSky and is protected by intellectual property laws.

User Accounts

To use certain features of the Software, you may need to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

User Registration Responsibilities

To access or utilize the Shipzy Services, you must register for a user account and provide all necessary details. If you're representing an organization and intend to employ the Services for internal corporate purposes, it's advised that both you and fellow organization users sign up using corporate contact details, notably your corporate email address. You pledge to:

Provide authentic, precise, current, and complete information during the sign-up process.Regularly update the information furnished during registration to ensure its continued accuracy and completeness.

Should you supply any information that's false, misleading, outdated, or incomplete, or if ThinkerSky Technologies Pvt. Ltd. has valid grounds to suspect such inaccuracies, we reserve the right to terminate your user account and deny present or future use of any or all Shipzy Services.

Acceptable Use

You agree not to use the Software for any unlawful or prohibited purpose. You will not:

Use the Software in any way that could damage, disable, overburden, or impair our servers or networks.Attempt to gain unauthorized access to the Software, user accounts, or computer systems.Transmit any viruses, worms, or other malicious code.Violate any applicable laws or regulations.

Privacy

Your use of the Software is also governed by our Privacy Policy, which can be found on our website. By using the Software, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Fees and Billing

If the Software is provided on a paid basis, you agree to pay the applicable fees as described in the pricing plan. Payments are non-refundable unless otherwise specified

Termination

We may suspend or terminate your access to the Software at any time, with or without cause. You may also terminate your use of the Software by discontinuing your access and removing any related data.

Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, whether express or implied. We do not warrant that the Software will be error-free or uninterrupted.

Limitation of Liability

In no event shall ThinkerSky be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Indemnification

You hereby agree to indemnify and hold ThinkerSky Technologies Pvt. Ltd., its officers, directors, employees, suppliers, and affiliates, harmless from and against any losses, damages, fines, and expenses (including attorney's fees and costs) arising from or connected to any claims alleging that you have utilized the Shipzy software in violation of another party's rights, in contravention of any applicable laws, in breach of any provisions of this Agreement, or any other claim associated with your utilization of the Shipzy software, except in cases where such usage is explicitly authorized by ThinkerSky Technologies Pvt. Ltd.

Policy on Inactive User Accounts

We maintain the right to deactivate unpaid user accounts that remain inactive for a continuous span of 30 days. Upon such deactivation, all data linked with the respective user account will be erased. We will duly notify you prior to this termination and provide an opportunity to back up your data. This data deletion protocol could be implemented for any or all of the Shipzy Services. In the case of your unpaid account, you should assume that all data linked with the respective user account will be erased.

For the purpose of measuring inactivity, each individual Service is assessed autonomously, and their periods of inactivity are evaluated separately. Consequently, the engagement in one Service alone isn't adequate to maintain the active status of your user account across other Services. For accounts featuring multiple users, as long as at least one user remains active, the account will not be classified as inactive.

Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Continued use of the Software after any such changes constitutes your acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of courts of Rajkot in accordance with the laws of India without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Rajkot Gujarat India.

By using the Shipzy software, you acknowledge that you have read, understood, and agreed to these Terms of Use.
